Terms of Service

1. Description of Service

EliteTime provides an AI-powered video processing service that automatically identifies and compiles basketball events from uploaded game footage. Specifically, the Service:

• Accepts video footage uploaded directly by users through the EliteTime website.
• Uses artificial intelligence to identify basket events within that footage.
• Creates a highlight reel and individual clips of each event.
• Delivers the finished highlight reel to the user via a direct download link.
• Uploads the finished highlight reel to the official EliteTime YouTube channel.

EliteTime is currently offered free of charge during its Alpha testing phase. Pricing and subscription terms may be introduced in future versions of the Service, at which point these Terms will be updated accordingly.

2. Eligibility and Parental Consent

2.1 Age Requirements

The Service is intended for use by individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old.

2.2 Minors in Uploaded Videos

We recognize that uploaded game footage may contain images or likenesses of minors (individuals under the age of 18). By uploading video footage that includes minors, you represent and warrant that:

• You are the parent or legal guardian of the minor(s) appearing in the footage, OR you have obtained written consent from the parent or legal guardian of each minor appearing in the footage.
• You have the legal authority to grant the rights described in Section 4 of these Terms on behalf of any minor appearing in the footage.
• The upload and processing of this footage does not violate any applicable law, including but not limited to the Children's Online Privacy Protection Act (COPPA) or the California Consumer Privacy Act (CCPA).

3. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and account credentials.
• Promptly update your account information if it changes.
• Be solely responsible for all activities that occur under your account.
• Notify us immediately at henry@hhlsolutions.com or ee@e1solutionsgroup.com if you suspect unauthorized use of your account.

4. User Content and Video Data

4.1 Your Uploaded Videos

You retain all ownership rights to the video footage you upload to EliteTime (“Your Videos”). By uploading Your Videos, you grant HHL Solutions and e1 Solutions Group a limited, non-exclusive, worldwide, royalty-free license to:

• Receive, store, and process Your Videos on our servers solely for the purpose of generating your highlight reel.
• Use Your Videos for internal testing, quality assurance, and improvement of EliteTime's AI models and Service, in a manner consistent with our Privacy Policy.

4.2 Data Retention and Deletion Policy

We maintain a strict data lifecycle policy:

• Original Uploaded Video: Permanently deleted from our servers immediately upon completion of your highlight reel. We do not retain original footage.
• Highlight Reels: Stored on our servers for seven (7) days from the date of delivery, after which it will be permanently deleted. You are responsible for downloading and saving your highlight reel within this 7-day window.
• YouTube Upload:A copy of your highlight reel will be uploaded to the EliteTime YouTube channel. This copy is subject to YouTube's Terms of Service. To request removal, contact us at henry@hhlsolutions.com or ee@e1solutionsgroup.com.

4.3 No Sale or Third-Party Sharing of Your Videos

HHL Solutions and e1 Solutions Group will not sell, rent, or share Your Videos or any personally identifiable information derived from Your Videos with any third parties, except as required by law or as described in our Privacy Policy.

4.4 Your Responsibilities for Uploaded Content

You are solely responsible for Your Videos and the consequences of uploading them. You represent and warrant that:

• You own or have obtained all necessary licenses, rights, consents, and permissions to upload Your Videos and grant the rights described in Section 4.1.
• Your Videos do not infringe, misappropriate, or violate any third party's copyright, trademark, patent, trade secret, right of publicity, right of privacy, or any other intellectual property or proprietary right.
• Your Videos do not violate any applicable federal, state, or local law or regulation.
• You have obtained all necessary consents from individuals appearing in Your Videos, including parental or guardian consent for any minors.

5. YouTube and Third-Party Platforms

By using the Service, you acknowledge and agree that:

• Your finished highlight reel will be uploaded to the EliteTime YouTube channel as part of the Service delivery.
• HHL Solutions and e1 Solutions Group are not responsible for YouTube's policies, practices, or terms of service.
• YouTube's Terms of Service (available at youtube.com/t/terms) govern the content once uploaded to that platform.
• If you do not wish your highlight reel to be uploaded to YouTube, you must notify us at henry@hhlsolutions.com or ee@e1solutionsgroup.com before submitting your video for processing. Opting out of the YouTube upload does not affect your direct download link delivery.

6. Intellectual Property

All rights, title, and interest in and to the EliteTime Service — including all software, AI models, technology, interfaces, content, and materials created by HHL Solutions and e1 Solutions Group — are and will remain the exclusive property of HHL Solutions, e1 Solutions Group, and their licensors. Nothing in these Terms grants you any right to use the EliteTime name, trademarks, logos, domain names, or other distinctive brand features without our prior written consent.

Your highlight reels, once delivered to you, belong to you. HHL Solutions and e1 Solutions Group claim no ownership over the content of your highlight reels beyond the limited license described in Section 4.1.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, available at myelitetime.com/privacy, explains in detail how we collect, use, store, and delete information about you and your uploaded content. By using the Service, you agree to the practices described in our Privacy Policy.

Key privacy commitments:

• We do not sell your personal data.
• We delete original uploaded videos immediately after processing.
• We delete highlight reels after 7 days.
• We comply with applicable California privacy law, including the CCPA.

8. Disclaimers and Limitation of Liability

8.1 Service Provided “As Is”

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranty of any kind. HHL Solutions and e1 Solutions Group do not guarantee that:

• The AI basket detection will identify every event in your footage.
• The Service will be uninterrupted, error-free, or free of harmful components.
• The highlight reels will meet your specific expectations.

HHL Solutions and e1 Solutions Group expressly disclaim all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, HHL Solutions and e1 Solutions Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of goodwill, or service interruption, arising out of or related to:

• (a) Your access to or use of, or inability to access or use, the Service;
• (b) Any content or footage you upload to the Service;
• (c) Unauthorized access to or alteration of your uploaded content;
• (d) Any failure of the AI to accurately detect scoring events.

In no event shall HHL Solutions and e1 Solutions Group's total liability to you for all claims arising from or related to the Service exceed one hundred dollars ($100.00).

9. Prohibited Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Upload footage you do not have the legal right to upload.
• Upload footage containing nudity, sexual content, or content that exploits or harms minors in any way.
• Upload footage of individuals without their consent (or without parental/guardian consent for minors).
• Attempt to reverse-engineer, copy, or replicate EliteTime's AI models or software.
• Interfere with or disrupt the integrity, performance, or security of the Service.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Use automated tools, bots, or scripts to interact with the Service without prior written consent from HHL Solutions and e1 Solutions Group.

10. DMCA and Copyright Complaints

We respect intellectual property rights. If you believe that content on the EliteTime YouTube channel infringes your copyright, please send a written notice to:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy under penalty of perjury.

11. Termination

HHL Solutions and e1 Solutions Group reserve the right to suspend or terminate your access to the Service at their sole discretion, at any time, with or without notice, for any conduct that we believe violates these Terms or is harmful to other users, HHL Solutions, e1 Solutions Group, third parties, or the integrity of the Service. Upon termination, your right to use the Service immediately ceases, and we may delete your account and any associated data consistent with our data retention policy.

12. Changes to These Terms

HHL Solutions and e1 Solutions Group may update these Terms from time to time. When we do, we will post the revised Terms on this page and update the “Last Updated” date at the top. For material changes, we will make reasonable efforts to notify registered users via email or a prominent notice on the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Alameda County, California, and you consent to personal jurisdiction in those courts.

14. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HHL Solutions and e1 Solutions Group regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
